Platform subscription agreement for independent property owners using Costadels Self

2. The platform relationship — Costadels as a marketplace only
By using Costadels Self, the Owner acknowledges and agrees that:
- The Owner is an independent operator running their own business, not an employee or agent of Costadels.
- Costadels provides a platform on which the Owner may list and market their property, and through which Guests may discover and contact the Owner.
- Any Rental Agreement is entered into solely between the Owner and the Guest. Costadels is not a party to that agreement and assumes no rights or obligations under it.
- The "Direct from Owner" label displayed on listings accurately reflects that guests are transacting directly with the Owner, not with Costadels.
3. Owner's full responsibility — rental operations
The Owner accepts full and exclusive responsibility for all aspects of their rental activity, including but not limited to:
- Property listings: Accuracy and completeness of all listing content, photos, descriptions, amenities, pricing, availability and house rules.
- Guest communication: All communication with enquiring and confirmed guests, including responding to questions, confirming bookings, providing arrival instructions and resolving disputes.
- Pricing and cancellation policies: Setting, communicating and enforcing their own prices, discounts and cancellation terms. Costadels does not set or guarantee any pricing.
- Check-in and check-out: All practical arrangements for handing over keys, welcoming guests and inspecting the property after departure.
- Property condition: Ensuring the property is clean, safe, accurately described and fit for habitation before each rental period.
- Guest vetting: The Owner may choose any criteria for vetting guests. Costadels does not verify guest identities on behalf of the Owner.
- Damage and minor wear: Minor damage and wear caused by guests is considered a normal operating expense of running a short-term rental and should be budgeted for accordingly. Costadels Self does not support or facilitate the collection of security deposits from guests. Owners who wish to protect against significant property damage are strongly encouraged to hold appropriate rental insurance (see Section 6). Any arrangement regarding damage compensation is made solely between the Owner and the Guest, outside the Platform.
4. Financial responsibility and payment flows
4.1 Payment infrastructure — Stripe Connect Standard
Payments on the Platform operate via Stripe Connect Standard. Under this model:
- The Owner holds an independent Stripe account in their own name. The Owner is the merchant of record for all transactions with Guests.
- Costadels holds a separate Stripe platform account. This account is used exclusively to coordinate the timing of payment Capture. It does not receive, hold or benefit from any rental funds.
- At no point does money pass through Costadels' Stripe account or any other Costadels account. Funds move directly from the Guest's payment method to the Owner's Stripe account upon Capture.
- The Owner's agreement with Stripe governs all payment processing. Costadels is not a party to that agreement and assumes no obligations or liability under it.
4.2 Payment flow — step by step
- Authorisation: When a Guest confirms a booking, a Payment Intent is created and the booking amount is authorised on the Guest's payment method. No funds are transferred at this stage.
- Release Window: Following the Guest's scheduled check-in, a 24-hour Release Window opens. During this window the Guest may report a qualifying problem with the property via the Platform.
- Capture: If no problem is reported within the Release Window, Capture occurs automatically and funds are transferred directly to the Owner's Stripe account. Capture may also be triggered earlier if the Owner and Guest both confirm check-in via the Platform.
- Problem reported: If the Guest reports a qualifying problem within the Release Window, Capture is paused and the Owner is notified immediately. The Owner and Guest have 72 hours to resolve the matter directly between themselves. If no resolution is confirmed within 72 hours, Capture proceeds automatically and funds are transferred to the Owner. Costadels does not adjudicate disputes and is not a party to any resolution.
4.3 Costadels' role is limited to technical timing
The Owner expressly acknowledges and agrees that:
- Costadels is not a payment service provider, payment institution or money services business.
- Costadels has no obligation to ensure that Capture succeeds, that funds are available or that payment is ultimately received by the Owner.
- Any failure of Stripe's systems, any chargeback, fraud or payment dispute is exclusively a matter between the Owner, the Guest and Stripe. Costadels has no role and no liability in such matters.
- The Owner is solely responsible for reconciling payments, issuing receipts and accounting for rental income.
4.4 Other financial responsibilities
- Refunds and cancellations: Honouring any refund obligations to Guests under the Owner's own cancellation policy. Costadels has no obligation to provide refunds to Guests on behalf of Owners.
- Subscription fees: Paying the agreed monthly or annual subscription fee to Costadels. This flat fee is the only payment made to Costadels under this Agreement and is non-refundable except as set out in Section 10.
Costadels is not responsible for unpaid rent, fraudulent bookings, guest non-payment or any financial loss suffered by the Owner as a result of rental activity.
5. Tax and legal compliance
The Owner is exclusively responsible for ensuring their rental activity complies with all applicable laws and regulations, including:
- Spanish short-term rental regulations: Obtaining any required tourist rental licence (Vivienda de Uso Turístico) required under regional legislation applicable to the Owner's property. For phase 1 of Costadels Self, this applies to properties located in the Region of Murcia (including Mar Menor Golf Resort and Serena Golf Resort). Owners with properties in other Spanish autonomous communities are responsible for compliance with the applicable regional legislation in their area.
- Community of Owners (Comunidad de Propietarios): Ensuring that rental activity is permitted under the rules of any applicable homeowners' association.
- Rental income tax: Declaring and paying all applicable taxes on rental income in Spain and the Owner's country of tax residence, including IRNR or IRPF as applicable.
- VAT / IVA: Determining and applying any VAT obligations applicable to their rental activity.
- Tourist tax: Collecting and remitting any applicable tourist tax required by local or regional authorities.
- Guest registration: Reporting guest identity documents to Spanish authorities as required under Spanish law. This obligation must be fulfilled via the SES.hospedajes system (hospedajes.ses.mir.es) or any applicable successor system designated by Spanish authorities. Owners are solely responsible for registering each guest within 24 hours of check-in.
6. Insurance obligations
The Owner confirms and warrants that they:
- Hold, or will obtain before accepting any bookings, adequate insurance coverage for the rental of their property, including liability insurance covering guest injury, property damage caused by guests, and damage to neighbouring properties.
- Understand that standard home insurance policies typically do not cover short-term commercial rentals, and accept responsibility for ensuring appropriate commercial rental insurance is in place.
- Will not hold Costadels liable for any loss or damage that would have been covered by appropriate rental insurance.
Costadels does not provide insurance coverage of any kind to Owners or Guests.
7. Costadels' limitations of liability
To the maximum extent permitted by applicable law, Costadels expressly excludes liability for:
- Any financial loss, loss of income, loss of bookings or damage arising from the Owner's use of, or inability to use, the Platform.
- Any dispute, claim, damage, injury or liability arising out of or in connection with any Rental Agreement between Owner and Guest.
- Errors, inaccuracies or omissions in listing content provided by the Owner.
- Technical failures, downtime or unavailability of the Platform, iCal synchronisation errors, or missed bookings arising therefrom.
- Actions or omissions of Guests, including non-payment, property damage, injury or any other harm caused by Guests.
- Actions or omissions of third-party payment processors (including Stripe) used in connection with the Platform.
- The outcome of any payment Authorisation, Capture or Release Window event, including but not limited to: delayed Capture, failed Authorisation, Stripe system downtime, chargebacks initiated by Guests, or any funds not received by the Owner for any reason. Costadels' role as technical timing coordinator of Capture does not create any financial obligation or liability on the part of Costadels toward the Owner or the Guest.
- Any dispute between the Owner and a Guest arising from or related to the 24-hour Release Window or 72-hour problem resolution process. The outcome of such processes is exclusively a matter between the Owner and the Guest.
Where liability cannot be excluded under applicable law, Costadels' total liability to the Owner shall in no event exceed the subscription fees paid by the Owner to Costadels in the twelve (12) months preceding the event giving rise to the claim.
8. Indemnification
The Owner agrees to indemnify, defend and hold harmless Costadels and its officers, employees, contractors and agents from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in connection with:
- The Owner's rental activity, including any claim by a Guest against Costadels in connection with a booking facilitated via the Platform.
- The Owner's breach of this Agreement.
- The Owner's failure to comply with applicable laws and regulations.
- Any inaccurate, false or misleading information provided by the Owner in their listing or communications.
9. Platform rules and conduct
The Owner agrees to use the Platform responsibly and in accordance with the following rules:
- Listing content must be accurate, truthful and not misleading. Owners may not misrepresent the property, its location, condition, amenities or availability.
- Owners must respond to guest inquiries in a timely and professional manner.
- Owners may not use the Platform to facilitate illegal activity or discriminate against guests on the basis of protected characteristics.
- Owners must keep their calendar up to date to avoid double bookings. Costadels is not responsible for double bookings caused by inaccurate calendars.
Costadels reserves the right to suspend or remove any listing that violates these rules, without refund of subscription fees.
10. Subscription, cancellation and termination
Trial period: New Self Owner accounts are granted a 30-day free trial with full access to Platform features. No payment is required during the trial period.
Subscription: After the trial period, continued use of the Platform requires a paid subscription (monthly or annual). Subscription fees are set out on the Costadels Self pricing page and may be updated with 30 days' notice.
Cancellation by Owner: The Owner may cancel their subscription at any time. No refund is provided for the unused portion of a monthly subscription. Annual subscriptions cancelled within 14 days of payment receive a full refund; thereafter no refund is provided.
Termination by Costadels: Costadels may terminate this Agreement and remove the Owner's listing(s) with immediate effect if the Owner breaches this Agreement, engages in fraudulent activity, or uses the Platform in a manner that could cause harm to Costadels or third parties. In such cases no refund is provided.
Effect of termination: Upon termination, the Owner's listing(s) are unpublished and the Owner's access to the Platform is revoked. Existing confirmed bookings must still be honoured by the Owner; Costadels has no obligation to assist with existing bookings after termination.
11. Governing law and dispute resolution
This Agreement is governed by Norwegian law. Any dispute arising out of or in connection with this Agreement that cannot be resolved amicably shall be submitted to the courts of Oslo, Norway, as the first court of jurisdiction.
Nothing in this clause prevents Costadels from seeking injunctive or other equitable relief in any jurisdiction.
12. Acceptance and amendments
This Agreement is accepted by the Owner by checking the confirmation checkbox during registration on Costadels Self. By accepting, the Owner confirms that they have read, understood and agree to be bound by all terms of this Agreement.
Costadels may amend this Agreement from time to time. Owners will be notified of material changes by email at least 14 days before the changes take effect. Continued use of the Platform after the effective date of any amendment constitutes acceptance of the amended Agreement.
